Capacity and Reliance Schedule

Capacity
Accordum Advisory Pty Ltd provides services in one or more of the following capacities, as determined by the substance and context of the engagement and the relevant communication:

(a)                as an incorporated legal practice providing legal services; and/or

(b)                as a provider of non‑legal commercial, strategic, procurement or advisory services.

Capacity is determined by the substance and character of the services performed, not by labels or descriptions.

Scope-limited advice
Any advice or information is limited to the scope expressly agreed, the matters specifically addressed, and the facts, assumptions and instructions made known at the time. No duty is assumed to update any advice for subsequent events, changes in law, market conditions or circumstances unless expressly agreed in writing.

Reliance
This communication is provided solely for the benefit of the intended recipient in connection with the agreed engagement. No other person may rely on it for any purpose without the prior written consent of Accordum Advisory Pty Ltd.

Systems reliance
In providing the services, Accordum Advisory Pty Ltd relies on its documented systems, policies and procedures. For legal services, this includes its Management System Statement (legal services), conflicts management processes, complaints handling procedure, information security controls and legal file management processes. Where services are provided on a non‑legal basis, those services are governed by the engagement documentation (including this Capacity and Reliance Schedule) and Accordum Advisory’s general governance, information security and document management controls, and do not constitute legal services.

Reliance on client information
Accordum Advisory Pty Ltd may rely on information provided by the client without independent verification, unless otherwise expressly agreed in writing.

Use and distribution
This communication must not be disclosed to, quoted to, or relied upon by any third party (including financiers, counterparties or advisers) without the prior written consent of Accordum Advisory Pty Ltd, except as required by law.

Legal and non-legal services
To the extent the services constitute legal services, they are provided by Accordum Advisory Pty Ltd as an incorporated legal practice by an Australian legal practitioner, are confidential and may be subject to legal professional privilege. To the extent the services are non-legal in nature, they do not constitute legal advice and should not be relied upon as such.

Limitation of liability
To the maximum extent permitted by law, Accordum Advisory Pty Ltd excludes all liability for any indirect or consequential loss, and the total aggregate liability arising out of or in connection with the engagement or this communication is capped at the amount actually paid out under the applicable professional indemnity insurance policy in respect of the relevant claim.
